These Terms of Service (“Terms”) constitute a binding agreement between Dulhan, a heritage fashion brand headquartered in Pune, Maharashtra, India (“Dulhan,” “we,” “us,” “our”), and any individual or entity that accesses or uses our websites, mobile applications, AI models/tools, generators, plugins, APIs, dashboards, and any related content, features, or services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

   “User,” “you,” “your” means any person or entity using the Services.

   “User Inputs” means any text, audio, musical phrases, lyrics, images, video, prompts, metadata, references, or other materials you supply to the Services.

   “Generated Content” means any output produced by or through the Services (e.g., songs, sound recordings, stems, lyrics, scores, images, video, text, metadata, arrangements, cover art).

   “Free Tier” means access without a paid subscription.

   “Paid Tier” means any paid plan or subscription.

   “Commercial Use” means use in connection with business, promotion, advertising, monetization, or other revenue-linked activity (online/offline).

   “Privacy Policy” means Dulhan's Privacy Policy as updated from time to time.

2. Acceptance, Changes to Terms

   • Acceptance. By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and the Privacy Policy (incorporated by reference).

   • Updates. We may modify these Terms at any time at our sole discretion. All changes are effective immediately upon posting with the updated “Last Updated” date serving as sufficient notice.

   • Continued Use. Your continued use after any change constitutes irrevocable acceptance. If you disagree with any update, stop using the Services immediately.

3. Eligibility, Accounts, Security

   • Age/Capacity. You must be 18+ and legally competent under Indian law.

   • Account Information. You must provide true, accurate, current, and complete information and keep it updated.

   • Security. You are solely responsible for your credentials, devices, and activity on your account. We are not liable for unauthorized use arising from your failure to secure your account.

   • Suspension/Termination. We may suspend or terminate any account for suspected fraud, inactivity, or breach, at our discretion.

4. Service Description, Changes, Availability

   • What we provide. The Services process User Inputs to produce Generated Content through AI models and related technologies across music (lyrics, composition, sound recordings), text, images, and video.

   • No guarantee of uniqueness or suitability. Outputs may be similar or identical across users due to the probabilistic nature of AI.

   • Changes and downtime. We may add, change, suspend, or discontinue any feature, plan, or the entire Service at any time with or without notice. We are not liable for maintenance windows, outages, or delays.

5. User Inputs — Your Warranties & Responsibilities

   • Your rights. You represent and warrant that you own or have all necessary rights (including third-party clearances) to submit User Inputs and to grant the licenses below.

   • No infringement or illegality. Your Inputs and your use of any Generated Content must not violate any law or third-party rights (copyright, neighboring/performer rights, publicity/privacy, trademarks, confidentiality, etc.).

   • Third-party materials. If you combine Outputs with third-party content, you are solely responsible for all necessary licenses, clearances, and payments (including public performance/communication to the public, synchronization, mechanical, master, publishing, PRO/collective licenses, platforms' content ID policies, etc.).

   • Moral rights. To the maximum extent permitted by applicable law, you waive and agree not to assert any moral rights you may hold in User Inputs submitted to the Services.

   • Indemnity. You will indemnify Dulhan against any claim arising from your Inputs or your use of Generated Content (see §16).

6. Intellectual Property — Ownership & License Framework

   • Dulhan owns the Services & Outputs. The Services, underlying software, models, training data, and all Generated Content are and remain the exclusive property of Dulhan. No title or ownership is transferred to you.

   • License to User Inputs. You grant Dulhan a worldwide, perpetual, irrevocable, royalty-free, transferable and sublicensable license to use your User Inputs (and derivatives) to operate, provide, market, and improve the Services, including training and fine-tuning models.
     Free Tier: We grant you a limited, revocable, personal, non-exclusive, non-transferable, non-sublicensable license to use Generated Content only for private, non-commercial purposes. Attribution to “Dulhan” may be required.
     Paid Tier (Commercial): For Generated Content created while your Paid Tier is active, we grant you a limited, non-exclusive, worldwide, perpetual, revocable (for breach), non-transferable, non-sublicensable license to use the Generated Content for Commercial Use in your own projects.

   • License to Generated Content. Subject to your full compliance with these Terms and plan limits:

   • Restrictions (applies to all tiers). You must not: (a) claim authorship/ownership of Generated Content or register it with any content ID, PRO, or registry as solely yours, (b) resell, re-license, or make the Output available as a standalone product, sample library, or model-training dataset, (c) use the Output to develop or train any competing AI model or service, (d) remove or alter any watermark, fingerprint, or notice, (e) assert any claim against Dulhan or its users based on similarity of Outputs.

   • Attribution & Content ID. Dulhan may fingerprint or apply content ID to Outputs to prevent abuse. For paid commercial use cases, whitelisting may be available at Dulhan's discretion upon request.

   • No exclusivity, similarity disclaimer. Outputs are not exclusive to you and may be similar or identical to outputs provided to others. You accept this risk and waive any claims based on similarity.

7. Permitted & Prohibited Uses

   • Permitted. Use the Services as intended, within plan limits, rate caps, and applicable law.

   • Prohibited (illustrative, not exhaustive). You must not:
     (a) infringe IP or privacy rights, (b) upload viruses or malicious code, (c) generate illegal, defamatory, obscene, hateful, or harassing content, (d) spam, scrape, mine, or bulk-harvest data, (e) reverse engineer, decompile, or circumvent technical protections, (f) exceed reasonable usage or rate limits, (g) build or assist any competing product/service, (h) misrepresent affiliation or source, (i) bypass geo-blocks, IP blocks, or account limits, (j) use the Services to violate platform or venue rules.

8. Plans, Fees, Renewals, Taxes, Refunds

   • Pricing & Currency. Fees are posted in INR (unless stated otherwise) and may change at our discretion.

   • Billing & Renewals. Paid subscriptions auto-renew for the same term at then-current rates unless you cancel at least seven (7) days before renewal.

   • Payment Processing. Payments are handled by authorized third-party processors. You authorize recurring charges until cancellation. We are not liable for processor actions.

   • Taxes. Fees are exclusive of all taxes, duties, or levies; you are responsible for applicable taxes other than taxes on Dulhan's income.

   • Refunds. All payments are final and non-refundable except where required by applicable Indian law or where we expressly offer a refund in writing.

   • Chargebacks. You agree not to initiate chargebacks without first contacting us. Improper chargebacks constitute material breach and may result in suspension and fees recovery.

   • Trials & Promotions. Any free trial or promo is subject to the stated term and conditions. Post-trial, billing commences unless you cancel before the end of the trial.

9. Usage Limits, Fair Use, API

   • We may impose or adjust rate limits, request caps, file size limits, or concurrency caps to preserve Service quality.

   • We may throttle, suspend, or terminate accounts that degrade performance or abuse fair-use policies.

   • API access (if provided) is subject to separate documentation and may be revoked at any time.

10. Third-Party Services, Platforms, Open-Source

    • The Services may interoperate with third-party sites, SDKs, content ID systems, app stores, or services. Those providers' terms and privacy policies apply. We are not responsible for their availability, accuracy, or practices.

    • Certain components may be provided under open-source licenses; to the extent of conflict, the open-source license terms control the relevant component.

11. Privacy, Data, Analytics

    • Our Privacy Policy explains what we collect and how we use it. By using the Services, you consent to our data practices.

    • We may derive aggregated and/or anonymized analytics from your use (“Usage Data”). We may use Usage Data for any lawful purpose, including improving the Services and training models.

12. Beta Features, Experimental Outputs

    • We may release beta/experimental features with limited reliability. They are provided as-is and may be withdrawn without notice.

    • You assume all risk in using beta features or relying on their Outputs.

13. Feedback

    • You may provide suggestions, ideas, or comments (“Feedback”).

    • You grant Dulhan a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use Feedback for any purpose without attribution or compensation.

14. Takedowns, IP Complaints (India)

    • If you believe material accessible via the Services infringes your rights, send a written notice to:

      Include: (a) your signature, (b) identification of the work/right alleged infringed, (c) identification/URL of allegedly infringing material, (d) your contact details, (e) a good-faith statement of lack of authorization, and (f) a statement that the information is accurate and you are authorized to act.

    • We may remove, disable, or request additional information at our discretion. Knowingly false notices may expose the sender to liability.

15. Disclaimers

    • AS IS / AS AVAILABLE. The Services and all Generated Content are provided strictly “as is” and “as available.”

    • No Warranties. Dulhan expressly disclaims all warranties (express, implied, statutory), including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and reliability.

    • AI Hallucinations and Errors. You acknowledge and agree that:
      AI systems are probabilistic and may generate hallucinations, fabrications, inaccuracies, distortions, offensive content, or outputs that appear authoritative but are factually incorrect.
      Outputs may be nonsensical, repetitive, misleading, or legally problematic.
      Dulhan provides guardrails and moderation but cannot guarantee error-free or lawful outputs.
      You assume full responsibility for reviewing, vetting, and relying upon any Generated Content.

    • No Professional Advice. Outputs are not a substitute for professional judgment. Dulhan does not provide legal, medical, financial, or other regulated advice.

    • Similarity Across Users. Due to the nature of machine learning, outputs may be identical or substantially similar across users. You waive any claim arising from such similarity.

16. Indemnification

    You agree to defend, indemnify, and hold harmless Dulhan, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:
    a) your User Inputs.
    b) your use, reliance, publication, distribution, or commercialization of any Generated Content (including where such content contains hallucinations, inaccuracies, offensive material, or third-party rights violations).
    c) your breach of these Terms. or
    d) your violation of any law, regulation, or third-party right.
    
    This obligation applies even if the harm arises from errors or hallucinations inherent in AI outputs, and remains in force after termination of your account.

17. Limitation of Liability

    • No Indirect Damages. To the fullest extent permitted by law, Dulhan shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages; loss of profits, data, goodwill, or business interruption; or cost of substitute goods/services.

    • Cap. Our aggregate liability to you for any claim shall not exceed the fees you paid to Dulhan in the preceding three (3) months, or INR 5,000, whichever is lower.

    • Essential basis. These limits are fundamental to the bargain between you and us.

18. Term, Suspension, Termination, Effect

    • Term. These Terms apply from your first use and continue until terminated.

    • Suspension/Termination. We may suspend or terminate your access immediately for any breach, suspected abuse, or legal/regulatory reasons.

    • Effect. Upon termination: (a) your right to access the Services ceases, (b) licenses granted to you survive only as expressly stated in §6.3 (for Paid Tier Outputs generated during an active subscription, subject to revocation for breach), (c) we may delete your account/data per our Privacy Policy, and (d) accrued rights and payment obligations survive.

19. Governing Law, Arbitration, Venue, No Class Actions

    • Law. These Terms are governed by the laws of India.

    • Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996.

    • Seat & Venue. The seat and venue of arbitration is Pune, Maharashtra. The proceedings shall be conducted in English before a sole arbitrator appointed in accordance with the Act.

    • Courts. The courts of Pune, Maharashtra shall have exclusive jurisdiction for interim relief and enforcement.

    • No Class/Representative Actions. You waive any right to participate in class, collective, or representative proceedings.

20. Compliance, Export, Anti-Abuse

    • You will comply with all applicable laws/regulations, including Indian IP, IT, privacy, consumer, and tax laws.

    • You must not export or re-export the Services where prohibited and must not use them for unlawful purposes.

21. Force Majeure

    We are not liable for failure or delay due to events beyond our reasonable control (including outages, cyberattacks, acts of God, government actions, labor disputes, or network failures).

22. Assignment, No Agency

    You may not assign or transfer these Terms without our prior written consent. We may assign freely. No agency, partnership, joint venture, or employment relationship is created.

23. Notices, Grievance

    • Notices. We may notify you via email, in-product notices, or by posting on our site. You must send legal notices to legal@dulhanworld.in and the postal address below.

24. Entire Agreement, Severability, Survival, No Waiver

    • These Terms (plus the Privacy Policy and any feature-specific terms we publish) are the entire agreement and supersede prior understandings.

    • If any provision is held invalid/unenforceable, it will be replaced with a valid term closest to the parties' intent; the rest remains in effect.

    • Survival. Sections 5–8, 10–11, 13–19, 21–24 survive termination.

    • No Waiver. Failure to enforce any provision is not a waiver of that or any other provision.

• Transfer/Sublicense: Not allowed (use within your own projects only)
• Attribution: Recommended, whitelisting available at Dulhan's discretion
• Prohibited: Claiming ownership/authorship; content-ID registration as yours; resale/re-licensing as standalone; using Outputs to train/compete; distributing as sample packs/libraries/datasets
